Auxplutes

This End-User License Agreement ("EULA") is a legal agreement between Auxplutes ("Licensor," "we," "us," or "our") and you ("Licensee," "you," or "your") governing your use of the Auxplutes QuickBooks integration (the "Software").

1. License Grant

Subject to your continued compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install, access, and use the Software solely for your internal business purposes in connection with your valid QuickBooks Online account(s).

2. Restrictions

You shall not, and shall not permit any third party to:

Copy, modify, adapt, translate, create derivative works of, or distribute the Software;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software except to the extent such restriction is prohibited by applicable law;
Rent, lease, lend, sell, sublicense, assign, or otherwise transfer rights to the Software;
Use the Software for timesharing, service bureau, or similar purposes;
Use the Software in any manner that violates applicable law or any third-party terms (including Intuit terms);
Bypass or interfere with security or access controls of the Software or related services.

3. Ownership

The Software is licensed, not sold. Auxplutes and its licensors retain all rights, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly stated in this EULA.

4. Data Access & Security

The Software may access your QuickBooks data via secure authorization methods (e.g., OAuth). We access and process only the data necessary to provide the integration functionality. We implement reasonable administrative, technical, and physical safeguards designed to protect your data.

We do not sell your QuickBooks data. We may retain minimal logs and technical data necessary to operate, secure, troubleshoot, and improve the Software in accordance with our Privacy Policy.

5. Third-Party Services

The Software depends on third-party services (including Intuit Inc.'s QuickBooks). Your use of such third-party services is governed by their terms, policies, and fees, which are solely between you and the applicable provider. Intuit does not provide support for the Software, and Auxplutes is solely responsible for the Software and any related support or maintenance.

6. Support & Maintenance

Auxplutes provides reasonable technical support for the Software. Support channels and response times may vary. Intuit has no obligation to provide support for the Software.

7. Fees & Taxes

We may charge fees for access to or continued use of the Software. Unless stated otherwise, fees are non-refundable. You are responsible for all applicable taxes, duties, and charges, excluding our income taxes.

8. Updates; Availability

We may provide updates, bug fixes, or changes to the Software. Certain updates may be required to continue using the Software. The Software's availability may be affected by scheduled or unscheduled maintenance, outages, or changes to third-party services.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AUXPLUTES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AUXPLUTES FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You will defend, indemnify, and hold harmless Auxplutes and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Software; (b) your violation of this EULA or applicable law; or (c) your violation of any third-party rights.

12. Term and Termination

This EULA is effective as of the Effective Date and continues until terminated. We may suspend or terminate your access to the Software immediately if you breach this EULA or if your use poses a security or legal risk. Upon termination, your license will automatically terminate and you must cease all use of the Software.

13. Governing Law; Venue

This EULA is governed by the laws of Maharashtra, India, without regard to its conflict-of-laws principles. The courts located in Pune, Maharashtra shall have exclusive jurisdiction and venue over disputes arising out of or relating to this EULA, and the parties consent to personal jurisdiction therein.

14. Changes to this EULA

We may update this EULA from time to time. If we make material changes, we will provide notice by posting the new EULA on this page with a new Effective Date. Your continued use of the Software after the Effective Date constitutes acceptance of the updated EULA.
